Governance

Governance and leadership

The structure follows the Norwegian Limited Liability Companies Act. The principles below describe how we aim to exercise ownership.

  1. 1

    General meeting

The shareholders’ highest body. Approves annual accounts, elects the board and amends the articles.

  2. 2

    Board of directors

Responsible for managing the company, supervising management and setting strategy and risk limits.

  3. 3

    Management

Executes the agreed strategy, follows up holdings and reports to the board.

  4. 4

    Portfolio company boards

Ownership is exercised through ordinary corporate bodies — not by taking over operations.

Principles

  • §1Decisions are documented in writing and reasoned.
  • §2Conflicts of interest are declared and handled before deliberation.
  • §3Debt is only raised within limits approved by the board.
  • §4Portfolio companies are treated equally regardless of size.
  • §5Sustainability and working conditions are assessed as part of risk.
